Drew Bernstein

Biography

Drew Bernstein is the Co-Chairman and Co-CEO of MarcumAsia, initially co-founder of Bernstein & Pinchuk, a PCAOB registered accounting firm which has been providing SEC audit and advisory services to Asian companies since 1983. The firm was formerly an affiliate of Marcum LLP. Today, MarcumAsia is one of the largest middle market accounting firms servicing Asia-based, US publicly traded companies and the most active independent auditor for cross-border IPOs and SPAC mergers. Bernstein is a distinguished expert with deep knowledge of the Asia and U.S. financial ecosystem with experience extending across Asia, Europe, and Africa. His industry experience encompasses technology, education, retail, manufacturing, hospitality, pharmaceutical and real estate. Bernstein directs a global team, featuring highly trained PCAOB and SEC accounting experts and financial consultants working in New York City as well several offices across mainland China, Hong Kong, Singapore and Japan.

Mark Hunter

Biography

Mark David Hunter is an AV Preeminent® (the highest peer ranking by Martindale-Hubbell) rated attorney who manages Hunter Taubman Fischer & Li’s (HTFL) Miami, Florida office. He oversees HTFL’s Regulatory Enforcement and Investigations, White Collar Defense, Securities Litigation/Arbitration, Commercial Litigation/Arbitration, and Governmental Investigations practice groups, and works with the firm’s Investment Management and China Practice groups. In addition to his role at HTFL, Mr. Hunter draws from his professional experience as an Adjunct Professor at Florida International University’s (FIU) College of Law, where he teaches courses entitled: (1) SEC Investigations – Insider Trading, Ponzi Schemes, and Stock Manipulations; and (2) White Collar Crime. He currently serves as an Arbitrator for the Financial Industry Regulatory Authority (FINRA) Dispute Resolution and National Futures Association (NFA) forums. In addition, Mr. Hunter also served for seven years on the NASDAQ’s Listings Qualifications Panel (by appointment from the NASDAQ’s Board of Directors) where he presided over appeals of NASDAQ-listed companies regarding issues of listing or delisting, and rendered decisions on the ultimate issue of whether a company would continue to be listed on the NASDAQ Stock Market. Mr. Hunter is licensed in New York, Washington D.C., and Florida.

Mr. Kanno is the CEO of HeartCore Enterprises, Inc., who began his career as a pilot in the Japan Air Self-Defense Force after graduating from university, later launching a sporting goods business that helped spark the snowboarding boom in Japan. He founded HeartCore in 2009, growing it into the leading company in Japan's CMS (Content Management System) market and a frontrunner in the process mining industry. On February 10, 2022, he achieved a major milestone by leading HeartCore to become the third company based in Japan to go public on NASDAQ. He currently supports corporate CX (Customer Experience) and DX (Digital Transformation) strategies, spearheads VR technology development, and runs the "Go IPO' consulting service, helping Japanese companies prepare for U.S. listings based on his own proven experience.

He holds a Bachelor of Science in Business Administration with a minor in Marketing from Pepperdine University, where he was also a scholar-athlete on the men's basketball team.

He holds both a Bachelor of Science in Business Administration and a Master's degree in Accounting from Ohio State University. Mr. Kim began his career at Clifton Gunderson LLP before spending nearly a decade at KPMG across its U.S. and Korean practices, rising to Audit Senior Manager. He subsequently served as Director of Financial Reporting at Kloeckner Metals Corporation and as Managing Director of the Global Finance Coordination Unit at (주)두올, the holding company of Borgstena, in Seoul, South Korea. Currently, Mr. Kim serves as Audit Managing Director at LEK Partners LLC, where he provides audit and financial oversight services to a Nasdaq-listed company, including the preparation and review of SEC filings (10-Ks and 10-Qs) reflecting his direct familiarity with Nasdaq listing requirements, SEC reporting obligations, and public company compliance standards.
